Terms and Conditions

1. Scope of Application
These Terms and Conditions (hereinafter “Terms”) apply to the use of the “Swoin” platform (hereinafter “Platform”) operated by Swoin.io (hereinafter “Provider”).
2. Service Description
Swoin is a subscription-based developer partnership platform that enables:
- Subscription-based financial support for open-source and closed-source software projects
- Access to exclusive content, developer discussions, and behind-the-scenes insights
- Votes via “Innovation Tokens”
- Feature voting through “Innovation Tokens” usage and direct roadmap influence
- Direct communication between developers and subscribers
3. User Roles
3.1 Developers/Project Owners
- Can present software projects and development roadmaps
- Can request payouts of received funds
- Subject to payout conditions (see Payouts section)
3.2 Supporters
- Can purchase Innovation Tokens and use them for feature voting
- Can set up subscriptions for automatic monthly support
- Used tokens are considered donations and become property of the project owner
4. Innovation Tokens
- All votings are processed via Innovation Tokens
- Tokens can be purchased with fiat currency via Stripe
- Once used, tokens are non-refundable
- Innovation Tokens (InTo) cannot be withdrawn as cash or converted to money
- Saved InTo can only be used for voting on features within the platform
5. Payments and Fees
- The platform retains a 7% platform fee on every subscription payment
- Payment processing via Stripe
- Payouts are subject to fees and will be charged in accordance with Stripe’s then-current pricing, in addition to the platform fee.

6. Payouts
6.1 Payout Requirements
Minimum Amount
- Minimum payout amount: €50
- Payouts can only be requested with a minimum amount of €50.
Platform Fee
- Platform fee: 10%
- A platform fee of 10% is deducted from all earnings.
6.2 Payout Process
Application
- Payouts must be requested through the Stripe dashboard
- All pending payout requests are visible in the payout section
6.3 Payment Methods
SEPA Transfer
- Standard payout method is SEPA transfer
- Valid IBAN required
6.4 Taxes and Fees
Self-Responsibility
- Tax treatment is the user responsibility
- Swoin does not provide tax advice
6.5 Changes to Payout Terms
- Changes to payout terms will be communicated in advance
- Continued usage constitutes agreement to modified terms
7. Liability
The liability of the platform for slight negligence is limited to the amount of platform fees (excluding payout fees from third-party providers such as Stripe) received in the 12 months preceding the damage event. Excluded are damages arising from intent, gross negligence, injury to life, body, or health, as well as delays in processing. Indirect damages (e.g., lost profits, data loss) and liability for third-party providers (e.g., Stripe, Hetzner) are excluded. The platform is not liable for service disruptions caused by hosting providers or payment service providers.
8. Privacy
Processing of personal data is carried out in accordance with our Privacy Policy.
9. Final Provisions
(1) Should any provision of these Terms and Conditions be or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The parties undertake to replace the invalid provision with a valid one that comes closest to the economic purpose of the invalid provision. (2) German law shall apply exclusively, excluding the UN Convention on Contracts for the International Sale of Goods. If the user is a merchant, the registered office of the platform shall be the exclusive place of jurisdiction for all disputes arising from this agreement. (3) Amendments to these Terms and Conditions must be made in writing. This also applies to this written form clause.
